RedotPay US IPO Delayed Amid Legal Hurdles

RedotPay has reportedly delayed plans for a U.S. IPO as it works through regulatory approvals and a nearly $473 million legal dispute involving Binance affiliates.

RedotPay’s plans to pursue a U.S. stock-market listing have reportedly been delayed as the stablecoin payments company works to strengthen its regulatory position and navigates ongoing legal challenges.

According to Bloomberg, people familiar with the matter said the company has pushed back its U.S. initial public offering while it seeks additional regulatory approvals and deals with litigation involving Binance affiliates.

RedotPay has not publicly confirmed a new IPO timetable. Instead, the company has highlighted its U.S. regulatory expansion. In March, RedotPay said it had obtained a U.S. Financial Crimes Enforcement Network (FinCEN) Money Services Business registration as part of its broader compliance infrastructure.

RedotPay’s U.S. IPO ambitions

RedotPay, a Hong Kong-based stablecoin payments company founded in 2023, emerged as a potential U.S. public-market candidate earlier this year.

Reports in February indicated that the company was considering a New York listing that could potentially raise more than $1 billion and value the business at more than $4 billion.

The company has also reportedly explored additional private funding as it prepares for further expansion.

However, the IPO process faces a more complicated backdrop as RedotPay works to establish its regulatory infrastructure in the United States.

RedotPay announced in March that it had secured FinCEN MSB registration in the U.S., alongside an MSB registration in Canada and a VASP license in Argentina. The company said its U.S. registration would support crypto on-ramps, off-ramps and remittance infrastructure for its global user base.

Important: FinCEN MSB registration is not the same as a state-by-state money-transmitter license. RedotPay's own March announcement specifically described the U.S. status as a FinCEN MSB registration.

Binance lawsuit adds pressure

The reported IPO delay comes as RedotPay faces a major legal dispute with Binance-affiliated companies.

The dispute involves nearly $473 million in alleged damages and centers on claims that RedotPay diverted Binance users and breached contractual obligations connected to Binance's payment ecosystem.

RedotPay has rejected the allegations and said it intends to defend itself through the legal process.

The dispute has also extended into Singapore, where the two sides have disagreed over whether related proceedings remain active.

For a company preparing for a potential public listing, the litigation adds another layer of scrutiny. Any eventual IPO would require investors to assess the potential financial, regulatory and reputational impact of the dispute.

U.S. regulatory expansion remains a priority

Despite the reported IPO delay, RedotPay continues to build its compliance infrastructure.

The company said its U.S. FinCEN registration is intended to support its operational and infrastructure activities, including crypto on-ramps, off-ramps and remittance services.

RedotPay has also continued expanding its compliance framework in other jurisdictions, including Canada and Argentina.

The company said these licensing milestones are part of its effort to provide regulated digital-asset payment services as it expands internationally.

RedotPay also announced in July that it had obtained SOC 2 Type II certification, following an independent audit covering its security and privacy controls.

IPO timeline remains unclear

There is currently no publicly confirmed date for RedotPay’s U.S. IPO.

The reported delay illustrates the challenges facing crypto and stablecoin companies seeking access to U.S. public markets. Regulatory approvals, compliance requirements and ongoing litigation can all affect the timing and structure of a potential listing.

For now, RedotPay appears focused on strengthening its U.S. regulatory infrastructure while continuing its international expansion.

The company’s next major milestones will likely include further U.S. regulatory approvals, developments in the Binance litigation and any formal announcement regarding an IPO timetable.
